1. Agreement to Terms

Welcome to ConnectVelocity ("Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the ConnectVelocity Chrome Extension and related services (collectively, the "Service").

By installing, accessing, or using ConnectVelocity, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must meet the following requirements to use ConnectVelocity:

  • You must be at least 18 years old.
  • You must have a valid LinkedIn account in good standing.
  • You must have the legal capacity to enter into a binding contract.
  • You must not be located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country.
  • You must not be prohibited from using the Service under applicable laws.

3. Account Registration and Security

3.1 Account Creation

  • To use ConnectVelocity, you must create an account by providing a valid email address.
  • You will receive a one-time password (OTP) for verification.
  • You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • We are not liable for any loss or damage arising from your failure to protect your account.

3.3 Accurate Information

  • You agree to provide accurate, current, and complete information during registration.
  • You agree to update your information promptly if it changes.

4. License and Restrictions

4.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Install and use the ConnectVelocity Chrome Extension on your personal device(s).
  • Access and use the Service for your personal or business networking purposes.

4.2 Restrictions

You agree NOT to:

  • Reverse engineer, decompile, or disassemble the Service.
  • Copy, modify, distribute, or create derivative works of the Service.
  • Use the Service for illegal purposes or to violate any laws or regulations.
  • Use the Service to harass, spam, or abuse others on LinkedIn.
  • Share your account credentials or license key with others.
  • Use the Service to scrape data for resale or commercial data aggregation.
  • Attempt to bypass usage limits or subscription restrictions.
  • Use automated tools (other than ConnectVelocity) to access the Service.
  • Interfere with or disrupt the Service or servers.
  • Remove or alter any proprietary notices or labels on the Service.

5. Subscription Plans and Billing

5.1 Free Trial

  • New users receive a 7-day free trial with limited features.
  • No credit card is required to start the trial.
  • At the end of the trial, you must subscribe to a paid plan to continue using premium features.
  • We reserve the right to modify or discontinue the free trial at any time.

5.2 Paid Subscriptions

All plans include unlimited campaigns, unlimited automation workflows, and unlimited profile scraping. The only difference is the number of AI-generated messages per month:

  • Starter Plan: $9/month or $90/year - 200 AI messages/month
  • Pro Plan: $19/month or $190/year - 500 AI messages/month
  • Elite Plan: $49/month or $490/year - Unlimited AI messages

5.3 Payment and Billing

  • Subscriptions are billed monthly or annually in advance.
  • Payments are processed through our third-party payment provider (Paddle).
  • You authorize us to charge your payment method for recurring subscription fees.
  • All fees are non-refundable except as required by law or as explicitly stated in these Terms.

5.4 Automatic Renewal

  • Subscriptions automatically renew at the end of each billing period.
  • You will be charged the then-current rate for your plan.
  • You can cancel auto-renewal at any time through your account settings.
  • Cancellations take effect at the end of the current billing period.

5.5 Plan Limits

  • Each plan has monthly usage limits for AI-generated messages only. All other features (campaigns, automation workflows, profile scraping) are unlimited.
  • If you exceed your AI message limit, the AI message generation feature will be temporarily restricted until the next billing cycle or until you upgrade.
  • We reserve the right to enforce plan limits to ensure fair usage.

5.6 Refund Policy

  • Annual subscriptions: Refundable within 14 days of purchase if you have used less than 10% of your monthly AI message quota.
  • Monthly subscriptions: Non-refundable except as required by law.
  • To request a refund, contact raviteja@connectvelocity.com with your account details and reason.

6. Acceptable Use Policy

6.1 LinkedIn Compliance

You acknowledge and agree that:

  • You are responsible for complying with LinkedIn's Terms of Service and User Agreement.
  • LinkedIn prohibits automated scraping and excessive automation, which may result in account restrictions or termination.
  • We implement safety features (rate limiting, human-like behavior) to reduce risks, but we cannot guarantee your LinkedIn account will not be restricted.
  • You use ConnectVelocity at your own risk.

6.2 Prohibited Activities

You may NOT use ConnectVelocity to:

  • Send spam, unsolicited messages, or deceptive content.
  • Harass, threaten, or abuse other LinkedIn users.
  • Impersonate others or misrepresent your identity.
  • Collect personal data of others without their consent.
  • Engage in fraudulent or illegal activities.
  • Distribute malware, viruses, or malicious code.
  • Violate intellectual property rights.
  • Bypass LinkedIn's security measures or access restrictions.

6.3 Enforcement

  • We reserve the right to investigate violations of these Terms.
  • We may suspend or terminate your account if you violate these Terms.
  • We may report illegal activities to law enforcement.

7. Data and Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

8. Intellectual Property Rights

8.1 Our Intellectual Property

  • The Service, including all software, text, graphics, logos, and trademarks, is owned by ConnectVelocity or our licensors.
  • You do not acquire any ownership rights by using the Service.
  • All rights not expressly granted to you are reserved by ConnectVelocity.

8.2 Your Data

  • You retain ownership of any data you input into the Service (LinkedIn profiles, campaign data, messages).
  • You grant us a limited license to use your data solely to provide the Service to you.
  • We do not claim ownership of your data and will not share it with third parties except as described in our Privacy Policy.

8.3 Feedback

  • If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free license to use such feedback without obligation to you.

9. Third-Party Services

  • ConnectVelocity integrates with third-party services, including LinkedIn and OpenAI.
  • Your use of third-party services is subject to their respective terms and policies.
  • We are not responsible for the actions, content, or policies of third-party services.
  • We may disable or remove third-party integrations at any time.

10. Disclaimers and Limitations of Liability

10.1 No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Warranties that the Service will be uninterrupted, error-free, or secure.
  • Warranties that defects will be corrected or that the Service is free of viruses.

10.2 LinkedIn Account Risks

  • We do NOT guarantee that using ConnectVelocity will not result in LinkedIn account restrictions, warnings, or termination.
  • LinkedIn may change its policies or algorithms at any time, which could affect the Service.
  • You acknowledge and accept these risks by using ConnectVelocity.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • ConnectVelocity shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • Our total liability to you for all claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
  • We are not liable for loss of profits, revenue, data, goodwill, or business opportunities.
  • We are not liable for damages caused by LinkedIn's actions, third-party services, or your violation of these Terms.

10.4 Indemnification

You agree to indemnify, defend, and hold harmless ConnectVelocity and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any rights of third parties, including LinkedIn.
  • Your violation of any applicable laws or regulations.

11. Service Availability and Modifications

11.1 Service Availability

  • We strive to provide reliable service but do not guarantee 100% uptime.
  • The Service may be unavailable due to maintenance, updates, or technical issues.
  • We are not liable for service interruptions or downtime.

11.2 Modifications to the Service

  • We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice.
  • We may add or remove features, change pricing, or update the extension.
  • Continued use of the Service after modifications constitutes acceptance of the changes.

11.3 Changes to Terms

  • We may update these Terms from time to time.
  • We will notify you of material changes by email or through the extension.
  • Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

12. Termination

12.1 Termination by You

  • You may cancel your subscription at any time through your account settings.
  • You may uninstall the extension to stop using the Service.
  • Cancellation takes effect at the end of your current billing period.

12.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without notice, if:

  • You violate these Terms or our Acceptable Use Policy.
  • You engage in fraudulent or illegal activities.
  • Your payment fails or your account is past due.
  • We are required to do so by law or government request.
  • We decide to discontinue the Service.

12.3 Effect of Termination

  • Upon termination, your license to use the Service ends immediately.
  • You must uninstall the extension and cease all use of the Service.
  • We may delete your account data after 30 days (see Privacy Policy).
  • Provisions that should survive termination (indemnification, limitations of liability, dispute resolution) remain in effect.

13. Dispute Resolution and Governing Law

13.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

13.2 Arbitration Agreement

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration, except:

  • Small claims court disputes (claims under $10,000).
  • Claims for injunctive relief or intellectual property infringement.

Arbitration shall be conducted by a single arbitrator in accordance with the rules of the American Arbitration Association (AAA).

13.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis only. You waive the right to participate in class actions, class arbitrations, or representative actions.

13.4 Jurisdiction

For disputes not subject to arbitration, you consent to the exclusive jurisdiction of the courts in Delaware, United States.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and ConnectVelocity regarding the Service.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

14.4 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We are not liable for delays or failures in performance caused by events beyond our reasonable control (natural disasters, pandemics, government actions, internet outages, etc.).

14.6 No Agency

These Terms do not create any agency, partnership, joint venture, or employment relationship between you and ConnectVelocity.

16. Chrome Web Store Compliance

ConnectVelocity complies with Google Chrome Web Store Developer Program Policies. We:

  • Use only the permissions necessary for our stated functionality.
  • Clearly disclose data collection and usage practices.
  • Do not engage in deceptive or misleading practices.
  • Do not use remote code execution or obfuscated code.
  • Respect user privacy and data security.

By using ConnectVelocity, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
